We are looking for Nominee Directors with faultless public record to join our Compliance panel in Singapore.
Responsibilities
• Serve the statutory duty of signing board resolutions for all reasonable and lawful directions given by each client as validated and executed by Our team.
• Sign documents raised within 24 hrs or raise queries for information as needed.
• Maintain your residence in Singapore and keep us up to date on any upcoming plans on change of residency including within Singapore.
• Maintain a clean public record and not commit any act or omission that shall disqualify one from being a director under the Companies Act
• Act honestly and in good faith, to avoid conflict of interest, exercise care, skill and diligence and not misuse powers and information on behalf of any client.
• Use your best efforts to comply and act in accordance with your legal obligations and duties as a nominee director at all times.
• Be attentive to any compliance notifications from regulatory authorities, work with client and our team to resolve any issues and apply suitable challenge
• Occasionally attend a physical board meeting if the foreign directors of the client company are in town and request one.
• Occasionally attend a physical meeting with representatives of traditional banks (UOB, OCBC, DBC, SCB, etc) should the client need to open a bank account.
Requirements:
• Understanding of Companies Act Cap 50, ACRA Regulations and duties of Directors.
• Past working experience in a corporate, professional environment
