Job Description

Position Summary and Responsibilities:

This Finance Director/Senior Manager will oversee all finance activities for Teledyne LeCroy’s Test and Measurement Group. Primary activities include providing financial analysis and counsel to multiple vice presidents and general managers regarding business results and actual performance against plans and forecasts in a multi-facility/multi-division global environment.

• This individual will have overall responsibility for preparing financial statements, reports and analysis for our business. This individual will prepare and maintain a complete set of financial statements which includes a balance sheet and related financial reporting information including a profit and loss statement, summary of cash flows and supplemental financial information.
• Additionally, this individual will be responsible for preparing the annual business plans, monthly forecasts and capital budgeting, as well as oversee the financial statements prepared for other affiliates within Teledyne’s T&M Group.
• Works closely with assigned vice presidents and general managers in the areas of financial and business reporting to include: proactive analysis of business trends, forecasting and budgeting, government proposals and reporting requirements and working capital management.  Partner with VPs and General Managers in developing, monitoring and evaluating overall corporate strategy with emphasis on top and bottom line performance and maximizing working capital and cash flows. 
• Prepare quarterly finance and business updates alongside Teledyne LeCroy Management; participates in the quarterly OPS Review with Teledyne’s executive management.
• Identify, analyze, and implement initiatives in support of 80/20 metrics and goals.
• Actively participate in the ERP/IT system implementation project. T&M is consolidating several IT systems into one IT system. Additionally, drive the change management of the business processes to support this initiative.
• Establish, maintain and document strong internal control processes meeting Sarbanes-Oxley 404 compliance requirements. Ensure internal controls are functioning effectively across the group.  Communicate with internal and external auditors as required.
• Develop and train financial staff to ensure accounting records and financial reporting is prompt, accurate and meets business requirements. Motivate and lead a high performance Finance Team; attract, recruit and retain required members of the management and finance team; provide mentoring as a cornerstone to their management career development program.  Foster a success-oriented, accountable environment. 
• Establish and maintain a set of key financial performance indicators for prompt decision-making.
• Act as a liaison to appropriate corporate executives regarding the understanding our goals and objectives.
• Manage strategic/business planning process and effectively oversee the multi-location/multi-currency accounting and treasury Finance Teams.  Ensure proper global consolidation and accounting supports key management initiatives.
• Manage information gathering process for federal, state, local and international tax compliance obligations.

Qualifications:

• Accounting/Finance degree required
• Knowledge of accounting, budgeting, forecasting and cost control principles including generally accepted accounting principles
• Experience in a manufacturing environment
• Strong knowledge of GAAP
• Solid supervisory skills
• Participation in ERP system implementation/upgrade
• Public accounting, internal audit experience strongly preferred
• Minimum of 15 years experience in Accounting
• Minimum of 5 years in a managerial role
• Contracts & negotiation experience.

Overview of the role

The Team Lead Business Banking Relationship Manager reports to the Business Banking Sales Leader (BBSL).  The position provides coaching support to assigned Business Banking RM team in addition to individual goals. The Team Lead position focuses team and own efforts on the acquisition of new clients and expanding share of wallet of existing client portfolio of businesses with annual sales from $3 to $10 million. 

Develops centers of influence in the market that can be leveraged into profitable relationships.  Develops strategic relationships with all Key lines of business in order to effectively refer business and leverage partnerships to deepen and enrich the client experience.  Effectively manages the client relationship by selling and promoting a broad array of appropriate financial products and services, providing pertinent financial information to clients and identifying/referring cross-marketing opportunities to meet the clients’ need and become their trusted advisor.  Researches and fully understands competitors’ strengths/weaknesses and product offerings/pricing.      
 
ESSENTIAL JOB FUNCTIONS

The role of the Business Banking Relationship Manager (BBRM) is to develop new and expand existing client relationships by consistently delivering the BB value proposition (clients bank at Key because their business is understood, their time is valued and solutions are provided to simplify their lives).

The BBRM will be responsible for functions that align with the Key Sales Process and Consultative Sales Process Framework (Opportunity Management, Needs Assessment, Present/Pitch, Fulfillment, and Follow Up) in daily work to create a positive Client Experience. This includes:

Sales Coaching
• Coaches to the segment value proposition and defined client experiences and directs the team sales efforts through utilization of consistent sales processes/tools including a disciplined approach to prospecting, development of internal/external centers of influence and follow-up to leads.
• Coaches each Business Banking Relationship Manager (BBRM) to fully appreciate, understand and be able to deliver solutions that meet the client’s comprehensive needs, based on the review and analysis of personal and financial data gathered through Relationship Reviews, the Desktop and personal meetings.

Fulfillment
• Actively listens to concerns, presents a clear concise picture and provides the client with a targeted solution to close the sale.
• Functions as client’s credit sponsor with Business Service Center to facilitate the underwriting process and credit approval.
• Ensures that new customer relationships consistently meet all compliance requirements; ensures all documents with loan are completed, correct and sent with loan documentation; works to resolve all loan document exceptions; understands how and why an exception occurred.
Follow-Up
• Ensures ongoing contact with new clients to enhance client’s initial experience with Key
• Aggressively grows and maintains a profitable book of business by successfully closing deals to meet or exceed individual and District revenue, contribution, fee income, loans and deposit goals.

REQUIRED QUALIFICATIONS

COMPENSATION AND BENEFITS

This position is eligible to earn a base salary in the range of $150,000 to $X175,000 annually depending on location and job-related factors such as level of experience. Compensation for this role also includes eligibility for short-term incentive compensation and deferred incentive compensation subject to individual and company performance.

Responsible for an assigned portfolio of loan and deposit relationships with small business clients.  Solicit new business; manage risk and credit decisions; and service existing clients through the bank’s relationship management program.  Work with branch partners to effectively sell to the business customer and cross-sell other bank products.

Primary Responsibilities:

• Develop new banking relationships with business prospects. Service existing business banking client base. Achieve established goals as outlined by manager.
• Work with branch partners to maximize sales efforts to business customers and cross sell other products and services that the bank offers. Network with centers of influence to develop business including accountants, attorneys and other referral sources.
• Evaluate credit information and requests and recommend appropriate loan structure to manage risk. Effectively negotiate with underwriters and clients to maximize revenue and minimize risk.
• Achieve sales goals with minimum expectations as follows:
• Revenue of $150M to $4000M.
• Loan production of $4MM to $8MM.
• Deposit balance production of $400M to $2MM.
• Manage loan portfolio of $7.5MM to $20MM.
• Oversee approximately 15 to 40 relationship managed clients.
• Actively participate in all business banking and retail sales sprints. Achieve call targets and other product sales goals such cash management, visa merchant, and others as assigned. Participate in civic and cultural organizations and programs. Utilize prescribed selling techniques to maximize sales opportunities.

Education and Experience Required:

Bachelor’s degree or in lieu of a degree, a minimum of 4 years of related sales/banking experience, or a combination thereof

Sound credit skills necessary to evaluate loan requests.

Good understanding of Cash Management, Merchant Service, Trade Services products offered to Business Banking customers and ability to identify sales opportunities for those product sets.

What you’ll be doing

As the Senior Manager, Agency Syndication you will be accountable for providing specialized agency services as an independent intermediary between borrowers and lenders participating in syndicated credit facilities arranged by Wholesale or Retail Markets. This role applies solid knowledge of lending products and accepted syndication and loan administration practices in the following regions; Canadian Commercial Banking, Canadian Large Corporate, US Large Corporate or European Large Corporate.  You will manage all aspects of administration and monitoring of established credit facilities which includes the input, verification and escalation of any risk elements associated with the portfolio.  As a member of the Credit Processing Team, this role participates in process improvement and quality initiatives in order to enhance the quality of client service and increase operational efficiency. Specifically, the PF&I specialist needs to have a good understanding of the overall legal documentation and being in a position to review the borrowing certificates, among others, properly in order to allow funding. In order to do that the person needs to understand the mechanics of the transaction.

How you'll succeed

• Understand and manage all aspects of a number of assigned project finance accounts, including credit, legal, and compliance issues;

• Serve as one of the main point of contact for related stakeholders (i.e. sponsors, borrowers, other lenders in the syndicate, and external consultants such as external legal counsel, technical consultant etc.);

• Perform agent duties that require active communication with related stakeholders;

• Organize and participate in all-Lender / sponsor calls if required;

• Coordinate the action of the lenders as agent in accordance with the financing agreements;

• Provide prompt service to all stakeholders with all work being completed in a timely manner and accurate;

• Distribute required information and/or reports to each participant;

• Control conditions precedent, drawdowns and repayments of the assigned transactions;

• Negotiate and co-ordinate amendment and waiver requests;

• Coordinate the lenders' action for amendment, waiver or consent requests;

• Take prompt action upon request from the participants;

• Update, discuss, and answer credit and deal-structure related questions from other lenders in the syndicate on a daily basis;

• Review legal documentation and manage legal due diligence process, direct the work of, and co-ordinate with, appointed external lawyers.

• Relationship Management - Liaise with borrowers, lenders, external and internal legal counsel, and other business units within the Bank on all activities related to the syndication.

• Provide guidance - Act as an industry expert in local market funding and operational standards for all loan products and services with the responsibility of offering recommendations and solutions to complex funding issues.

• Ensure accuracy

• Manage the flow of funds to mitigate risk to the Bank as agent.

• Negotiate - Collect revenues on behalf of the Agent and syndicate and distribute them accordingly.  On an annual basis, review and recommend/negotiate Agency Fee.

• Update business processes - Act as an agent for continuous improvement and identify opportunities to improve or enhance processes, procedures and service for clients

• Manage and lead processes

• Ensure compliance – For both internal controls and procedures

• Maintain correct data – Establish and maintain current expert knowledge of the credit agreement to accurately and effectively administer the contractual arrangements while mitigating execution risks inherent in the duties of the Administration Agent.

• Facilitate closings of new/amended credit facilities to include sign-off on deal structure, setup and population of ledgers, SyndTrak, review flow of funds memorandum with responsibility for mitigating execution risk, co-ordinate Initial advance in accordance with established procedures.

• Ensure compliance to internal controls and procedures.
